Otterix — End User License Agreement (EULA)

This End User License Agreement ("EULA") is between you and Rent Shell Pty Ltd (ABN 14 690 073 691) trading as "Otterix" ("Otterix", "we", "us"). It governs your use of the Otterix software and applications (the "Software"). This EULA supplements, and should be read together with, our Terms of Service and Privacy Policy. By installing, accessing, or using the Software, you agree to this EULA.

1. Licence grant

Subject to your compliance with this EULA and the Terms of Service, and to payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software for your internal business purposes during your subscription period.

2. Licence restrictions

You must not, and must not allow others to: (a) copy, modify, or create derivative works of the Software except as expressly permitted; (b) reverse engineer, decompile, or disassemble the Software, except to the extent this restriction is prohibited by law; (c) rent, lease, lend, sell, sublicense, or otherwise transfer the Software or your access to it; (d) remove or alter any proprietary notices; (e) use the Software to develop a competing product or service; or (f) circumvent or interfere with any security, usage, or access-control mechanism.

3. Ownership

The Software is licensed, not sold. All intellectual property rights in the Software remain with us and our licensors. You receive no rights other than the limited licence expressly granted here.

4. Third-party services

The Software interoperates with third-party services (including Google Gmail, Microsoft Outlook, and AI providers). Your use of those services is subject to their respective terms, and we are not responsible for third-party services. Our handling of data from Google and Microsoft is described in the Privacy Policy and complies with the Google API Services User Data Policy (including Limited Use) and applicable Microsoft requirements.

5. Updates

We may provide updates, patches, or new versions of the Software. This EULA governs any such updates unless they are accompanied by separate terms.

6. Data and privacy

Your use of the Software involves processing of data as described in the Privacy Policy. You are responsible for ensuring you have the rights and consents necessary for the data you process through the Software.

7. Term and termination

This EULA applies for as long as you use the Software. It terminates automatically if you breach it or when your subscription ends. On termination you must stop using the Software. Provisions that by their nature should survive (including ownership, restrictions, disclaimers, and limitation of liability) survive termination.

8. Consumer guarantees, disclaimers and liability

8.1 Nothing in this EULA excludes, restricts, or modifies any guarantee, right, or remedy under the Australian Consumer Law or other law that cannot lawfully be excluded. 8.2 Subject to clause 8.1, the Software is provided "as is", and to the maximum extent permitted by law our liability is limited as set out in the Terms of Service.

9. Governing law

This EULA is governed by the laws of New South Wales, Australia.
